What does "struck off" actually mean?

When Companies House strikes a company off the register, it legally ceases to exist. Trading must stop immediately, corporate bank accounts are frozen, and every asset the company owned — including cash at the bank — passes to the Crown under the doctrine of bona vacantia.

Administrative restoration in four steps

  1. Confirm eligibility. Administrative restoration (form RT01) is available where the company was struck off by the Registrar within the last six years and was trading at the time.
  2. Obtain a Bona Vacantia waiver letter. If the company held assets, the Government Legal Department must confirm the Crown waives its interest before Companies House will process the application.
  3. Bring filings up to date. All overdue confirmation statements (CS01) and annual accounts must be prepared and filed, along with any late filing penalties.
  4. File the RT01 with the restoration fee. Once accepted, the company is restored to the register as if it had never been struck off.
