Start with the right route

Administrative restoration or court restoration?

Answering this first prevents delays, rejected applications and the wrong service fee.

Likely administrative restoration

You may qualify if all of these are true:

 • You were a director or shareholder.
 • Companies House struck the company off.
 • Dissolution was within the last six years.
 • The company was trading or operating at strike-off.
 • Outstanding filings and penalties can be dealt with.
Check administrative eligibility
A court route may be required

Ask for a court assessment where:

 • The directors applied for voluntary strike-off.
 • The applicant is a creditor or other interested party.
 • Administrative restoration is unavailable or refused.
 • The case falls outside the normal eligibility conditions.
 • More than six years have passed since dissolution.

When a corporate entity is dissolved or struck off the register, all operations cease immediately. Legally, any remaining assets—including physical infrastructure, intellectual property, and active bank accounts—pass automatically to the Crown under the legal doctrine of bona vacantia (ownerless property). Your bank accounts will be completely frozen until formal restoration is finalized.

Yes. However, Companies House will not return your legal structure to active status until all historical compliance deficits are entirely corrected. This requires preparing and filing all overdue Annual Accounts and outstanding CS01 Confirmation Statements alongside your restoration petition forms.

A waiver letter is an official document issued by the Government Legal Department stating that the Crown claims no ongoing interest in your dissolved asset pool. Companies House strictly mandates this waiver clearance before they will legally process your RT01 restoration application.

No, outstanding statutory late filing penalties remain active and must be addressed. Penalties accrued prior to the company being dissolved are transferred directly back onto the restored entity's balance profile once it is reactivated on the registrar database.
