The Registrar does not send many warnings

Companies House issues two letters and a Gazette notice before striking a company off. Miss those, and dissolution follows automatically. These are the failures that trigger the process:

  1. Late or missing annual accounts — the single most common cause.
  2. Missed CS01 confirmation statements — an annual legal requirement even for dormant companies.
  3. No valid registered office — returned mail flags the company as unreachable.
  4. PSC register failures — changes to Persons with Significant Control must be reported promptly.
  5. No appointed directors — resignations without replacements leave the company non-compliant.
  6. Undelivered official letters — treated as evidence the company has ceased operating.
  7. Apparent dormancy — long periods with no filings suggest the company is defunct.
